These Terms of Use ("Terms") govern your access to and use of the Nexus Onboard software platform and related services (collectively, the "Service") provided by PRAXTON INC, a Delaware corporation trading as Nexus Onboard ("Nexus Onboard," "Company," "we," "us," or "our").
Please read these Terms carefully before accessing or using the Service. By accessing or using the Service, you agree to be bound by these Terms.
1. About Nexus Onboard
Nexus Onboard provides software and related services that may support business onboarding, workflow management, task management, document collection, automation, communications, reporting, and related activities.
The features and functionality available to you may depend on the access provided to you and, where applicable, the agreement between Nexus Onboard and the business or employer through which you access the Service.
We may update, modify, improve, suspend, or discontinue features of the Service from time to time.
2. Who May Use the Service
The Service is intended for authorized business customers and individuals who have been authorized to access the Service through a business customer.
There are two primary categories of authorized users:
2.1 Business Customers
A "Business Customer" is a business, employer, organization, or other entity that has entered into a separate written agreement with Nexus Onboard for the provision or use of the Service.
The Business Customer's relationship with Nexus Onboard, including commercial terms, fees, subscriptions, service levels, data processing arrangements, security commitments, confidentiality obligations, liability, indemnification, and other business-specific matters, is governed by the separate agreement entered into between Nexus Onboard and that Business Customer.
These Terms are not intended to replace, amend, or establish the commercial terms of a Business Customer's agreement with Nexus Onboard.
Where these Terms and a Business Customer's separate written agreement address the same matter and are inconsistent, the applicable Business Customer agreement will govern the relationship between Nexus Onboard and that Business Customer to the extent of the inconsistency.
2.2 Employee and Authorized Individual Users
An "Employee User" is an individual who is permitted to access the Service because their employer or another Business Customer has an active relationship with Nexus Onboard.
An Employee User may include an employee or another individual expressly authorized by the applicable Business Customer and Nexus Onboard.
Your access is provided solely because you have been authorized through the applicable Business Customer. You do not receive an independent or transferable right to use the Service.
You must use the Service only for purposes connected with the legitimate activities for which you have been authorized.
2.3 No Unauthorized Third-Party Access
No person or entity other than an authorized Business Customer or authorized individual user may access or use the Service without Nexus Onboard's prior written permission.
Without limitation, unauthorized access includes access by:
individuals who have not been authorized to use the Service;
former employees or individuals whose authorization has ended;
businesses or organizations that do not have an applicable agreement with Nexus Onboard;
third-party individuals or organizations accessing another person's account;
individuals using credentials that were not issued or authorized for them; or
any other person or entity that Nexus Onboard has not authorized to access the Service.
The fact that a person is technically able to access the Service, receives a link or invitation, or obtains login credentials does not by itself establish authorization.
3. Accounts and Account Security
You may be required to create or receive an account to access the Service.
You agree to provide accurate information where requested and to keep relevant account information reasonably current.
You are responsible for maintaining the security of your login credentials and must not knowingly share them with another person.
You must notify Nexus Onboard or the applicable Business Customer promptly if you become aware of unauthorized access to your account or believe that your credentials have been compromised.
You may not use another person's account or credentials or attempt to access an account that you are not authorized to use.
Where your access is provided through a Business Customer, that Business Customer may administer your account, including determining your permissions and requesting that your access be modified or removed.
4. Business Customer Administration
Where you access the Service through an employer or other Business Customer, that organization may control aspects of your access to the Service.
This may include:
creating or requesting your account;
determining your permissions;
providing information to Nexus Onboard;
requesting changes to your access;
suspending or terminating your access; and
managing information submitted through the Service on the organization's behalf.
Your use of the Service may therefore be subject to policies, instructions, or requirements imposed by your employer or the applicable Business Customer in addition to these Terms.
5. Information and Content
You may provide information, documents, files, communications, or other materials through the Service ("Content").
You are responsible for ensuring that you have the necessary rights and authority to provide Content through the Service.
You must not knowingly submit Content that:
is unlawful;
infringes another person's intellectual property or other rights;
contains malicious code;
you are not authorized to provide; or
violates applicable law or these Terms.
Where you access the Service through a Business Customer, information submitted by you may belong to, be controlled by, or be processed on behalf of that Business Customer.
Nexus Onboard may process Content as reasonably necessary to provide, maintain, secure, support, and improve the Service and to comply with applicable law and contractual obligations.
6. Privacy
Nexus Onboard's collection and use of personal information is described in the applicable Privacy Policy.
Where you use the Service through a Business Customer, that organization may also have its own privacy policies and obligations concerning information it provides to or collects through the Service.
Where applicable, additional data protection or data processing terms may apply between Nexus Onboard and the relevant Business Customer.
Nothing in these Terms is intended to remove or limit rights that you may have under applicable data protection or privacy law.
7. Acceptable Use
You must use the Service responsibly, lawfully, and only for authorized purposes.
You must not:
use the Service for unlawful, fraudulent, deceptive, or harmful purposes;
access or attempt to access the Service without authorization;
access another person's account without authorization;
share, transfer, sell, or otherwise provide your account to another person;
attempt to circumvent authentication, access controls, usage restrictions, or security measures;
interfere with or disrupt the operation of the Service;
introduce viruses, malware, ransomware, worms, or other harmful code;
probe, scan, test, or attempt to compromise the security of the Service without authorization;
use automated tools, bots, scrapers, or crawlers to access or extract information from the Service without authorization;
reverse engineer, decompile, disassemble, or attempt to derive source code or underlying technology from the Service, except where such restriction is prohibited by applicable law;
copy, reproduce, distribute, resell, lease, sublicense, or commercially exploit the Service without authorization;
use the Service to develop or facilitate a competing service where prohibited by law or applicable agreement;
exploit a vulnerability, error, or security issue for an unauthorized purpose;
transmit content that is unlawful, defamatory, abusive, infringing, or otherwise prohibited by law;
interfere with another user's use of the Service; or
use the Service in a way that could reasonably damage Nexus Onboard, the Service, its infrastructure, its customers, or other users.
8. Security and Responsible Disclosure
You must take reasonable steps to protect your account and any information you access through the Service.
If you discover a suspected security vulnerability or unauthorized access involving the Service, you should promptly notify Nexus Onboard and should not exploit, misuse, or publicly disclose the vulnerability before Nexus Onboard has had a reasonable opportunity to investigate and address it.
Nexus Onboard may take reasonable steps to protect the Service, its users, Business Customers, and third parties from security threats or misuse.
9. Suspension and Unauthorized Access
Nexus Onboard may suspend, restrict, or terminate access to the Service where we reasonably believe that:
the access is unauthorized;
these Terms have been violated;
the Service is being misused;
there is a security risk;
the access may harm Nexus Onboard, a Business Customer, another user, or a third party;
suspension is necessary to comply with law; or
continued access is otherwise reasonably necessary to protect the Service or its users.
Where we identify an account or access belonging to an unauthorized third party, we reserve the right to immediately suspend or terminate that access and to delete the associated account and information.
Nexus Onboard has no obligation to preserve an account, Content, or other information belonging to a person or entity that is not authorized to access or use the Service, except where retention is required by law or where Nexus Onboard reasonably determines that retention is necessary for security, fraud prevention, legal compliance, dispute resolution, or another legitimate purpose.
Where reasonably practicable, we may provide notice before taking action, but we are not required to provide advance notice where immediate action is reasonably necessary.
10. Intellectual Property
The Service and all technology, software, functionality, designs, graphics, trademarks, text, and other materials provided by or through Nexus Onboard are owned by or licensed to Nexus Onboard and are protected by applicable intellectual property laws.
These Terms do not transfer ownership of the Service or any Nexus Onboard intellectual property to you.
Subject to these Terms, you are granted a limited, non-exclusive, non-transferable, revocable right to access and use the Service for its intended and authorized purpose.
You may not remove, obscure, or alter proprietary or intellectual property notices associated with the Service.
11. Feedback
If you provide suggestions, comments, ideas, or other feedback regarding the Service, Nexus Onboard may use that feedback to develop, improve, or modify its products and services.
To the extent permitted by law, you agree that Nexus Onboard may use such feedback without compensation or attribution to you.
12. Third-Party Services
The Service may contain links to, integrate with, or interact with third-party services, applications, websites, or platforms.
Third-party services are controlled by their respective providers and may be subject to separate terms and privacy policies.
Nexus Onboard is not responsible for third-party services to the extent that they are operated or controlled by third parties.
13. Confidentiality
You may encounter information through the Service that is confidential or not publicly available.
You agree not to knowingly disclose, misuse, or improperly access confidential information that you are not authorized to access or disclose.
If you access the Service through a Business Customer, you may also be subject to confidentiality obligations imposed by your employer or that Business Customer.
These Terms do not make information confidential where it is already publicly available, was lawfully known to you, was independently developed, or was lawfully obtained from another source without confidentiality restrictions.
14. Availability of the Service
Nexus Onboard will use reasonable efforts to operate and maintain the Service.
However, the Service may occasionally be unavailable or interrupted due to maintenance, updates, technical issues, security incidents, third-party services, internet or telecommunications failures, or circumstances outside our reasonable control.
Nexus Onboard does not guarantee that the Service will always be available, uninterrupted, error-free, or free from all security threats.
Business Customers may have separate service-level commitments under their applicable agreements with Nexus Onboard.
15. Disclaimers
TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, THE SERVICE IS PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS.
EXCEPT AS EXPRESSLY PROVIDED IN A SEPARATE WRITTEN AGREEMENT OR REQUIRED BY LAW, NEXUS ONBOARD DISCLAIMS ALL WARRANTIES, REPRESENTATIONS, AND CONDITIONS, WHETHER EXPRESS, IMPLIED, OR STATUTORY, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT.
NEXUS ONBOARD DOES NOT WARRANT THAT THE SERVICE WILL ALWAYS BE AVAILABLE, UNINTERRUPTED, ERROR-FREE, OR COMPLETELY SECURE.
NOTHING IN THESE TERMS EXCLUDES OR LIMITS ANY RIGHT, WARRANTY, OR REMEDY THAT CANNOT LAWFULLY BE EXCLUDED OR LIMITED.
16. Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, NEXUS ONBOARD WILL NOT BE LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, OR FOR LOSS OF PROFITS, REVENUE, GOODWILL, DATA, OR ANTICIPATED SAVINGS ARISING FROM OR RELATING TO YOUR USE OF THE SERVICE.
TO THE MAXIMUM EXTENT PERMITTED BY LAW, NEXUS ONBOARD'S TOTAL LIABILITY ARISING FROM OR RELATING TO YOUR USE OF THE SERVICE WILL NOT EXCEED THE GREATER OF (A) THE AMOUNT, IF ANY, YOU DIRECTLY PAID TO NEXUS ONBOARD FOR THE SERVICE DURING THE TWELVE (12) MONTHS BEFORE THE EVENT GIVING RISE TO THE CLAIM, OR (B) US$100.
These limitations do not apply to liability that cannot lawfully be excluded or limited.
Where you access the Service through a Business Customer, the liability provisions contained in the Business Customer's separate agreement with Nexus Onboard govern the contractual relationship between Nexus Onboard and that Business Customer.
17. Indemnification
To the extent permitted by applicable law, you are responsible for claims, losses, damages, liabilities, and reasonable costs arising from your unlawful use of the Service, your violation of these Terms, or your infringement of another person's rights.
Nothing in this section requires you to indemnify Nexus Onboard to the extent such an obligation cannot lawfully be imposed.
Business Customers may have separate indemnification obligations under their agreements with Nexus Onboard.
18. Termination
Your right to access the Service continues only for as long as you remain authorized to use it.
Your access may end if:
your employer or Business Customer ceases to use the Service;
your employer or Business Customer removes your authorization;
your employment or authorized relationship with the Business Customer ends;
Nexus Onboard terminates or suspends your access;
you violate these Terms; or
the Service or relevant functionality is discontinued.
When your access ends, you must stop using the Service and must not attempt to regain access without authorization.
Nexus Onboard may delete or deactivate accounts and associated information following termination, subject to applicable law, contractual obligations, and legitimate retention requirements.
19. Changes to These Terms
We may update these Terms from time to time to reflect changes in the Service, legal requirements, security practices, or our business practices.
Where appropriate, we may notify you of material changes through the Service, by email, or by another reasonable method.
Updated Terms will become effective on the date stated in the updated Terms.
Your continued use of the Service after the effective date may constitute acceptance of the updated Terms to the extent permitted by applicable law.
Changes to these Terms do not amend or replace the separate contractual agreement between Nexus Onboard and a Business Customer.
20. Business Customer Agreements
These Terms are intended primarily to govern access and use of the Service by individual authorized users.
A Business Customer's contractual relationship with Nexus Onboard is governed by the separate written agreement issued or entered into between Nexus Onboard and that Business Customer.
Such agreements may contain additional or different provisions concerning matters including:
commercial terms;
pricing and payment;
subscription periods;
service levels;
security;
data protection and processing;
confidentiality;
intellectual property;
warranties;
liability;
indemnification;
termination; and
other business-specific requirements.
Nothing in these Terms is intended to create additional commercial obligations for a Business Customer beyond those contained in its applicable written agreement.
Where a Business Customer agreement specifically governs a matter addressed by these Terms, that agreement will control the relationship between Nexus Onboard and the Business Customer to the extent of any conflict.
21. Governing Law
Unless applicable mandatory law provides otherwise, these Terms are governed by the laws of the State of Delaware, USA, without regard to conflict-of-law principles.
Any dispute arising from these Terms will be subject to the jurisdiction and venue permitted by applicable law.
Nothing in these Terms is intended to prevent an individual from exercising mandatory rights or protections available under the laws that apply to them.
22. General Provisions
If any provision of these Terms is determined to be invalid or unenforceable, the remaining provisions will remain in effect to the fullest extent permitted by law.
Our failure to enforce a provision does not constitute a waiver of that provision.
You may not transfer your rights or obligations under these Terms without authorization where such authorization is required.
Nexus Onboard may assign or transfer its rights and obligations in connection with a merger, acquisition, corporate reorganization, sale of assets, or similar transaction.
Neither these Terms nor your use of the Service creates a partnership, joint venture, employment relationship, agency relationship, or other similar relationship between you and Nexus Onboard.
